A. Welcome

Cheeze, Inc. ("Cheeze," "we," "us," "our") provides its loyalty platform and reward wallet services (described below) to you ("you" or "User") through its website, platform, and mobile applications available on the Apple Store and Google Play (collectively the "Platform"), subject to the following Terms of Service (as amended from time to time, the "Terms"). By signing up for an account on the Platform or otherwise using or accessing the Platform, you acknowledge that you have read and agree to these Terms. The Privacy Policy and all additional terms, guidelines, and rules as set forth on the Platform are hereby incorporated by reference into these Terms and expressly agreed to and acknowledged by the User.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY, AS THEY CONTAIN AN AGREEMENT TO ARBITRATE AND OTHER IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THE AGREEMENT TO ARBITRATE REQUIRES (WITH LIMITED EXCEPTION) THAT YOU SUBMIT CLAIMS YOU HAVE AGAINST US TO BINDING AND FINAL ARBITRATION, AND FURTHER (1) YOU WILL ONLY BE PERMITTED TO PURSUE CLAIMS AGAINST CHEEZE ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING, (2) YOU WILL ONLY BE PERMITTED TO SEEK RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ON AN INDIVIDUAL BASIS, AND (3) YOU MAY NOT BE ABLE TO HAVE ANY CLAIMS YOU HAVE AGAINST US RESOLVED BY A JURY OR IN A COURT OF LAW.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and indicate at the top of this page the date these terms were last revised. We will also notify you of such changes or modifications, either through the Platform User interface, in an email notification, or through other reasonable means. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except changes addressing new functions of the Platform will be effective immediately. Your continued use of the Platform after the date any such changes become effective constitutes your acceptance of the new Terms of Service.

B. What is Cheeze?

1. Cheeze is a loyalty platform and reward wallet that enables Users, including businesses ("Brands") and consumers ("Members") (collectively, "Users"), to earn, track, and redeem rewards through smart NFC tags, QR codes, and digital interactions. Users can participate in loyalty programs, earn reward points, and redeem them for discounts, special offers, or other benefits provided by participating Brands. The Platform facilitates digital transactions that allow Users to seamlessly collect and redeem rewards via smart contracts and blockchain technology.

2. Smart-Contract Enabled. The rewards and transactions on Cheeze are powered by smart contracts on blockchain networks, ensuring a transparent and immutable ledger of all transactions occurring on the Platform. This ensures security, decentralization, and automation of loyalty programs. Users may receive rewards through purchases, interactions, or specific promotions offered by Brands.

3. Custodial and Non-Custodial Features. Cheeze may take custody of reward points or digital assets during a transaction process or facilitate non-custodial wallets where Users directly manage their assets. Users acknowledge that their public wallet address will be visible on the Platform along with transaction history for transparency purposes.

   
   

C. How do I use Cheeze?

1. Registration Obligations. Users must register to access and use certain features on the Platform. Registration data and other account-related information are governed by our Privacy Policy. Users must be at least 13 years old to register, with parental consent required for those between 13 and 18 years old.

2. Transaction Obligations. To withdraw rewards or loyalty tokens from the Cheeze-hosted wallet ("Hosted Wallet"), Users must provide necessary identity verification information. Cheeze implements Anti-Money Laundering (AML) and Know Your Customer (KYC) policies to ensure compliance with applicable regulations.

3. Prohibited Users. The Platform is not available to certain Users, including those in restricted jurisdictions, individuals on sanctions lists, or Users engaged in prohibited activities. Cheeze reserves the right to block or suspend accounts that violate its policies.

4. Member Account, Password, and Security. Users are responsible for maintaining the confidentiality of their account credentials. Unauthorized use or access must be reported immediately to Cheeze.

5. Account Deletion Requests. Users have the right to request the deletion of their accounts in compliance with applicable data protection laws. To request account deletion, Users may contact Cheeze support at support@cheeze.com. Upon verification, Cheeze will process the request within a reasonable timeframe, subject to legal and regulatory obligations that may require retention of certain data.

   
   

D. What are the rules for using Cheeze?

1. Transaction Rules. All reward transactions are final. Users are prohibited from fraudulently earning, transferring, or redeeming rewards.

2. Cheeze Rights. Cheeze reserves the right to investigate and take necessary actions, including suspending accounts, in cases of fraudulent activity or violations of these Terms.

   
   

E. How do Brands participate?

1. Brand Studios. Brands must create an account and establish their loyalty program within the Cheeze ecosystem. They may issue and manage rewards, create promotions, and track engagement.

2. Fees. Brands may be subject to monthly fees based on the number of users and promotional activities hosted on the Platform.

   
   

F. Intellectual Property Rights

1. User Content. Users retain ownership of their content but grant Cheeze a license to use, distribute, and display content as necessary for Platform functionality.

2. Platform Content. Cheeze owns all intellectual property related to the Platform, including trademarks, logos, and proprietary technology.

   
   

G. Fees and Transactions

1. Platform Fees. Cheeze may collect transaction fees on reward redemptions, promotional activities, and other services.

2. Taxes. Users are responsible for any applicable taxes related to transactions on the Platform.

   
   

H. Privacy Policy

The Cheeze Privacy Policy is incorporated into these Terms and governs data collection and usage practices. The Privacy Policy is available at cheeze.com/privacy.

I. Legal Terms

1. Indemnification. Users agree to indemnify Cheeze against any claims related to misuse of the Platform.

2. Limitation of Liability. Cheeze is not liable for indirect or consequential damages resulting from Platform use.

3. Termination. Cheeze reserves the right to terminate accounts for violations of these Terms.

J. Dispute Resolution

Disputes shall be resolved through binding arbitration, except in cases eligible for small claims court.
